# GOAT GAMERS LOUNGE — FOUNDERS PACKAGE

## Terms & Conditions

**Effective Date:** 04/01/2025

**Company Legal Name:** Goat Gamers Lounge

**Business Address:** 4805 Penn Ave, Pittsburgh, PA 15224

These Terms & Conditions (“Terms”) govern the Goat Gamers Lounge Founders Package (the “Founders Program”). By purchasing or activating a Founders membership, the purchaser (“Member”) agrees to be bound by these Terms.

---

## 1. Lifetime Definition & Scope

1.1 **Lifetime Meaning.** For the Founders Package, “lifetime” means the period during which the business entity that sold the Founders Package (the “Company”) continues to actively operate its gaming lounge under that same legal entity and continues to offer the Founders Program. If the Company ceases operations, dissolves, merges, is acquired, completes a full transfer of ownership such that a successor entity is the new owner, relocates outside the region, or discontinues the Founders Program, the Program and all associated benefits may terminate at that time without refund or compensation, unless a successor affirmatively agrees in writing to continue it.

1.2 **No Successor Obligation.** No successor, purchaser, assignee, landlord, or affiliate is obligated to honor the Founders Program unless it expressly assumes such obligations in writing.

---

## 2. Modifications, Availability & Temporary Closures

2.1 **Modifications.** To ensure safety, legal compliance, and program sustainability, Company may modify, substitute, or reasonably limit Founders benefits (e.g., reservation rules, event schedules, merchandise selections, substitute credits) while preserving the core character of the Founders experience where practicable.

2.2 **Availability & Capacity.** Access is subject to facility hours, maintenance, private events, staffing, safety protocols, lawful capacity limits, and government orders. Company may institute blackout dates, reservation systems, or access rules to manage demand.

2.3 **Temporary Closures.** Temporary closures or service interruptions do not create refund or extension rights. If a closure exceeds ninety (90) consecutive days, Company may, at its discretion, provide a reasonable wind‑down, pro‑rata adjustment, or substitute benefit.

---

## 3. Program Discontinuation & Notice

3.1 **Discontinuation.** Company may suspend or discontinue the Founders Program for operational, financial, legal, or safety reasons, with at least sixty (60) days’ advance notice where practicable. Upon discontinuation, benefits end unless Company provides a wind‑down or substitute benefits at its discretion.

3.2 **No Damages for Changes.** Reasonable modifications, temporary closures, or discontinuation under this Section do not entitle Member to damages, refunds, or chargebacks.

---

## 4. All Sales Final; Chargebacks

4.1 **Final Sale.** Founders Package purchases are non‑cancelable and non‑refundable once activated, except where required by law. Significant value is delivered immediately upon activation (recognition, status, upfront benefits, access rights).

4.2 **Chargeback Waiver.** Member agrees not to dispute charges or initiate chargebacks for benefits described herein. Unauthorized chargebacks may result in suspension of benefits until resolved and recovery of associated fees.

---

## 5. Prestige Perks (Non‑Monetary Status Benefits)

5.1 **Status Elements.** Non‑monetary status elements (“Status Perks”) may include: Member’s name on the “Wall of GOATS,” Founder Title/Badge/Stamp in Company systems, and access to Founder‑only digital lounges. Status Perks are symbolic and carry no monetary value.

5.2 **Discretionary & Subject to Change.** Status Perks may evolve, change form, or be discontinued as technology, branding, or operational needs change. Company does not guarantee the availability of any specific platform, display, or feature for any set period.

5.3 **Community Access.** Access to Founder‑only digital channels is subject to platform availability, community rules, and moderation. Company may modify, migrate, or remove digital communities for safety, legal, or operational reasons.

5.5 **Early Access & Priority.** Early enrollment, test access, and priority notifications are capacity‑limited and may be rescheduled or restricted without compensation.

5.6 **Exclusivity of Status.** Only the first fifty (50) Members who purchase the Founders Package will receive “Founder” recognition, subject to these Terms.

5.7 **Conduct & Community Standards.** Member agrees to respectful conduct. Harassment, hate speech, defamation, threats, or rule violations may result in temporary or permanent removal from communication channels or events, without affecting other benefits unless broader action is warranted.

5.8 **Name Display Standards.** Names displayed on recognition features must comply with community standards and legal requirements. Company may reject or require changes to names, tags, or identifiers that include profanity, vulgarity, discriminatory language, copyrighted or trademarked material, impersonation, or other inappropriate content. Company may modify the format, placement, or presentation of recognition displays.

6.4 **Tracking.** Company’s time‑tracking systems are the official record of balances and usage. Member may be required to present identification or account credentials to redeem hours.

6.5 **Modifications.** Company may modify hour allocations, reservation processes, operating schedules, or access rules to ensure safety, compliance, capacity management, or sustainability.
